Hereinafter referred to as “Levitate Vodka.”

Article 2 – Definitions

2.1 Consumer (B2C): A natural person acting for purposes outside their trade, business, craft, or profession.

2.2 Business Customer (B2B): A natural or legal person acting in the exercise of a trade or profession.

2.3 Agreement: Any contract concluded between Levitate Vodka and a customer.

2.4 B2B Portal: The restricted online environment made available to approved business customers.

2.5 Products: Alcoholic beverages and related items offered by Levitate Vodka.

Article 3 – Applicability

3.1 These Terms & Conditions apply to all offers, orders, agreements, and deliveries via the webshop and B2B portal.

3.2 Deviations are only valid if confirmed in writing by Levitate Vodka.

3.3 Any general terms from the customer are explicitly rejected.

Article 4 – Alcohol and Age Restriction

4.1 Levitate Vodka sells alcoholic beverages only to persons aged 18 years or older.

4.2 Age verification may be conducted at checkout and/or delivery.

4.3 If age cannot be verified at delivery, the shipment may be refused without liability for Levitate Vodka.

Article 5 – Offers and Pricing

5.1 All prices are stated in euros (€).

5.2 Consumer prices include VAT unless otherwise specified.

5.3 Business prices are displayed excluding VAT unless stated otherwise.

5.4 Customer-specific prices or discounts apply exclusively to the approved business account.

5.5 Obvious errors or mistakes in pricing do not bind Levitate Vodka.

Article 6 – Formation of the Agreement

6.1 The agreement is concluded when an order confirmation is issued.

6.2 Levitate Vodka reserves the right to refuse orders without stating reasons.

PART I – CONSUMERS (B2C)

Article 7 – Payment

7.1 Payment must be completed using the methods offered at checkout.

7.2 Payments are processed through
Stripe.

7.3 Levitate Vodka does not store full credit card details.

Article 8 – Delivery

8.1 Delivery is carried out via
DHL
or another designated carrier.

8.2 Risk transfers to the consumer at the time of physical delivery.

8.3 Delivery times are indicative unless expressly agreed otherwise.

Article 9 – Liability (B2C)

9.1 Levitate Vodka’s liability is limited to the purchase value of the product concerned.

9.2 Levitate Vodka is not liable for indirect or consequential damages, except where mandatory consumer law provides otherwise.

9.3 Nothing excludes liability for intent or gross negligence.

PART II – BUSINESS CUSTOMERS (B2B)

Article 10 – Registration and Access to the B2B Portal

10.1 Access to the B2B portal is granted at the discretion of Levitate Vodka.

10.2 Business customers may create multiple user accounts within their organization.

10.3 The business customer is fully responsible for:

• Internal account management
• Proper use of login credentials
• Removing access for former employees
• All activity under their accounts

Levitate Vodka may suspend or deactivate accounts in case of misuse.

Article 11 – Confidential Pricing and Discount Structures

11.1 Customer-specific pricing, discount levels, and commercial conditions are confidential.

11.2 Business customers may not disclose these conditions to third parties.

11.3 Levitate Vodka reserves the right to revise price agreements.

11.4 Violation of confidentiality may result in termination of access or claims for damages.

Article 12 – Orders on Credit (Invoice Terms)

12.1 Orders on account are subject to prior approval.

12.2 Levitate Vodka may:

• Set credit limits
• Conduct credit assessments
• Withdraw credit facilities at any time

12.3 Standard payment term: [14 / 30] days from invoice date.

12.4 If payment is overdue:

• Statutory commercial interest becomes due
• Collection costs may be charged
• Deliveries may be suspended
• Credit facilities may be withdrawn

Article 13 – Retention of Title

13.1 All delivered goods remain the property of Levitate Vodka until full payment has been received.

13.2 Business customers may not pledge or encumber goods before ownership transfers.

Article 14 – Complaints (B2B)

14.1 Complaints regarding visible defects or delivery errors must be submitted in writing within 48 hours of delivery.

14.2 Failure to do so results in acceptance of the goods.

Article 15 – Limitation of Liability (B2B)

15.1 Levitate Vodka is not liable for:

• Indirect damages
• Consequential damages
• Loss of profit
• Business interruption

15.2 Liability is limited to the invoice amount of the specific delivery.

15.3 This limitation does not apply in cases of intent or gross negligence.

Article 16 – Force Majeure

16.1 Levitate Vodka is not liable for failure to perform due to circumstances beyond its control, including but not limited to:

• Supply chain disruptions
• Transport failures
• Government measures
• Natural disasters
• Cyber incidents

16.2 In case of force majeure, Levitate Vodka may suspend or terminate the agreement without compensation.

Article 17 – Intellectual Property

17.1 All intellectual property rights relating to:

• Brand name
• Logos
• Packaging
• Marketing materials
• Photography

Remain exclusively owned by Levitate Vodka.

17.2 Use of Levitate Vodka branding without written permission is prohibited.

Article 18 – Suspension and Termination

Levitate Vodka may suspend or terminate an agreement or portal access in cases of:

• Non-payment
• Misuse of accounts
• Fraud
• Breach of confidentiality
• Violation of these Terms

Article 19 – Governing Law and Jurisdiction

19.1 All agreements are governed by Dutch law.

19.2 Disputes shall be submitted to the competent court in the district where Levitate Vodka is established.

Article 20 – Severability

If any provision of these Terms is found invalid, the remaining provisions remain in force.

Article 21 – Amendments

Levitate Vodka reserves the right to amend these Terms & Conditions. The most current version is always available on the website.
